2. Definitions

• We, Our, Us: Refers to Big Sabi, Inc., and Big Sabi Company Limited.
• SabiFans: Refers to this platform and the services offered by us, including the SabiFans Progressive Web app, SabiFans embeds, the website located at www.sabifans.com, and SabiFans’s other websites.
• Sabi People: Users who monetize their presence, content, services, and offerings on the SabiFans platform.
• Users: All individuals who access or use the SabiFans platform, including Sabi People and those who consume content.
• Content: Any information, text, graphics, photos, videos, or other materials uploaded, posted, or shared on SabiFans.
• Platform: The SabiFans website and any related services provided by SabiFans.
• Platform Usage: Use of the SabiFans platform and services.
• Monetization: Earning revenue through the SabiFans platform by providing content, services, or products.
• Subscription: Users pay for access to Sabi People’s content.
• Pay-Per-View: Users pay to view specific content, messages, or live streams.

Setting Subscription Prices: Sabi People can set their subscription prices according to their preferences. They also have the option to offer free subscriptions.

3. Eligibility

To use SabiFans, you must be at least 18 years old and comply with these Terms and all applicable laws and regulations.

4. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Content Guidelines

You are responsible for the content you upload, post, or share on SabiFans. Your content must comply with our Acceptable Use Policy and must not infringe on the rights of others.

6. Monetization

Sabi People can monetize their content, services, and offerings on the Platform. For details on monetization options, transaction fees, and payouts, please refer to the Sabi People Agreement. SabiFans reserves the right to adjust the monetization features and terms at any time.

7. Payments and Refunds

All financial transactions on SabiFans are subject to our Payments Policy. This includes details on subscription plans, transaction fees, payout methods, and refund procedures. Users are responsible for ensuring that their payment information is accurate and up to date. Refund requests are subject to our refund policy and are handled on a case-by-case basis.

8. Privacy

We take your privacy seriously. Please review our Privacy Policy for information on how we collect, use, and protect your personal information. By using SabiFans, you consent to the collection and use of your information as outlined in our Privacy Policy.

9. Cookies

10. Acceptable Use

You must use SabiFans in a manner that complies with our Acceptable Use Policy. This includes respecting other users and not engaging in prohibited activities such as harassment, spamming, or any form of illegal activity. Violation of the Acceptable Use Policy may result in the suspension or termination of your account.

11. Data Security

While we implement various security measures to protect your information, we cannot guarantee absolute security. You use SabiFans at your own risk. 12. Delivered Files

You are responsible for scanning all delivered files for viruses and malware. SabiFans will not be held responsible for any damages that might occur due to site usage, use of content, or files transferred. We recommend using reputable antivirus software to scan any files before opening them.

13. Limitations of Liability

SabiFans is not responsible for the content, quality, or the level of service provided by the Sabi People. We provide no warranty with respect to the services, offerings, content, products, their delivery, or any communications between users. Our liability is limited to the maximum extent permitted by law.

14. Warranty Disclaimer

We provide no warranty that the services will meet your requirements or that the services will be uninterrupted, timely, secure, or error-free. The services are provided "as is" and "as available" without any warranties of any kind, whether express or implied.

15. Indemnity and Waiver

You agree to indemnify and hold harmless SabiFans, its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your use of the platform, your violation of these Terms, or your violation of any rights of another. Your indemnification obligation will survive the termination of these Terms and your use of the Platform.

16. Notices

We may provide notices to you by email, regular mail, or postings on the SabiFans platform. Notices shall be deemed given upon receipt. It is your responsibility to ensure that your contact information is up to date and accurate in your account settings.

17. Consent to Electronic Communications

By using SabiFans, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

18. Enforceability and Severability

Each of the paragraphs of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. This ensures that the rest of the Agreement continues to be valid and enforceable.

19. Enforcement

Even if we delay in enforcing this Agreement, we can still enforce it later. If we delay in asking you to do certain things or taking certain action, it will not prevent us from taking steps against you at a later date. Our failure to enforce any right or provision under these Terms does not constitute a waiver of such right or provision.

20. Entire Agreement

This Agreement supersedes and extinguishes all prior agreements, representations, warranties, and understandings, whether oral or written, relating to its subject matter. It constitutes the entire agreement between you and SabiFans regarding the use of the Platform.

21. Availability of Services

We may modify, update, or discontinue the platform at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the services. You acknowledge that the Platform may be unavailable from time to time due to maintenance, technical issues, or other reasons.

22. Release

If you have a dispute with any user of the platform, you release SabiFans (and our affiliates, officers, directors, agents, and employees) from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. This release covers any interactions you have with other users on the Platform.

23. Proprietary Restrictions

All content on SabiFans, including text, graphics, logos, and software, is the property of SabiFans or its licensors. You may not use, reproduce, or distribute any content from the platform without our express written permission. Any unauthorized use of content may result in legal action.

24. Staying Safe While Using Our Services

We encourage you to stay safe while using SabiFans. Do not share personal information with others, and report any suspicious activities to us immediately. Be cautious of interactions with other users and take steps to protect your privacy and security.

25. Platform Updates

We may update the platform from time to time to enhance performance, add new features, or address security concerns. These updates may be automatic and occur without prior notice. You agree to receive such updates as part of your use of the Platform.

26. Misuse of Systems and Services

You must not misuse our systems or services. Misuse includes, but is not limited to, hacking, phishing, spamming, or any activity that disrupts the platform or other users. Any misuse may result in the suspension or termination of your account and possible legal action.

27. Governing Law

These Terms are governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the use of SabiFans shall be resolved under Nigerian law.

28. Dispute Resolution

Any disputes arising from or relating to these Terms or the use of SabiFans shall be resolved through binding arbitration, in accordance with the rules of the Nigerian Arbitration and Conciliation Act. The arbitration shall be conducted in English, and the place of arbitration shall be Nigeria.
